Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [legal_entity_name — not set] ("Voclip", "we", "us") governing your use of the Voclip mobile applications (iOS and Android), website, and related services (together, the "Service"). By creating an account, or by using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, Content & Intellectual Property Policy, Subscription & Billing Terms, and (for the mobile apps) the EULA. If you do not agree, do not use the Service.
1. What Voclip does
Voclip lets you record voice notes and turn them into shareable videos with animated waveforms and templates. You can add social-media usernames that are displayed on your videos, download your videos, share them, and (where you authorize it) publish them to third-party social platforms. Paid plans unlock higher quality, longer recordings, more templates, and remove the watermark.
2. Eligibility and age
You must be old enough to form a binding contract and to consent to the processing of your personal data in your country. The Service is not directed to children under 13, and where stricter local law applies (for example, the EU/UK), you must be at least 16 or have verifiable parental/guardian consent. By using the Service you represent that you meet these requirements. If we learn we have collected personal data from a child below the applicable age, we will delete it. See the Children section of our Privacy Policy.
3. Accounts
You can use the Service as a guest with limited functionality, or create an account using email/password or Google sign-in. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify support@voclip.app promptly of any unauthorized use.
4. Your content and our license
You retain ownership of the audio you record, the videos you generate, the images you upload (such as your avatar), and the usernames and text you provide ("Your Content"). To operate the Service we need a limited license to host, store, process, render, and display Your Content. The full terms of that license — including ownership of generated videos, the watermark, and our copyright takedown process — are in the Content & Intellectual Property Policy, which is incorporated into these Terms.
5. Acceptable use
You must use the Service lawfully and in line with our Acceptable Use Policy & Community Guidelines. We may remove content and suspend or terminate accounts that violate those rules, as described there.
6. Subscriptions, billing, and refunds
Paid plans are sold as auto-renewing in-app purchases through the Apple App Store and Google Play. Pricing, renewal, cancellation, free trials, and refunds are governed by the Subscription & Billing Terms. Because purchases are processed by the app stores, refunds are handled by Apple or Google under their policies. Manage or cancel your subscription through your app-store account.
7. Third-party platforms
If you choose to publish a video to a third-party platform (for example TikTok, Instagram, YouTube, Facebook, X, or LinkedIn), your use of that platform is governed by that platform's own terms and privacy policy. We are not responsible for third-party platforms, and their availability or rules may change.
8. Service changes and availability
We are continuously improving the Service and may add, change, or remove features. We may impose or adjust plan limits (such as recording length, video quality, template access, and watermarking) consistent with the plan you hold. We do not guarantee uninterrupted or error-free operation. See the Disclaimer.
9. Termination
You may stop using the Service and delete your account at any time from the app; deletion removes your personal data as described in the Privacy Policy. We may suspend or terminate your access if you breach these Terms or the policies incorporated here, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, license grants you gave us for content still in distribution, disclaimers, limitations of liability, and dispute terms) will survive.
10. Disclaimers
The Service and all generated output are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. Full disclaimer language is in the Disclaimer.
11. Limitation of liability
To the fullest extent permitted by law, Voclip and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid to the app stores for the Service in the 12 months before the claim, or (b) USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold Voclip harmless from claims and expenses (including reasonable legal fees) arising out of Your Content or your violation of these Terms or applicable law, to the extent permitted by law.
13. Governing law
These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes), are governed by the laws of [governing_law — not set], without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. 14. Dispute resolution
(a) Informal resolution first. Before bringing a formal claim, you agree to contact support@voclip.app and give us at least 30 days to resolve the matter informally. Most concerns can be resolved this way.
(b) Forum. If we cannot resolve a dispute informally, it will be brought exclusively in the courts located in [venue — not set], and you and Voclip consent to their personal jurisdiction — except where mandatory consumer law in your country of residence gives you the right to bring proceedings in your local courts, in which case that right is preserved.
(c) Optional arbitration / class-action waiver. (Operator/legal: if you intend to require binding individual arbitration and a class-action/jury waiver — common for US-facing apps — insert the arbitration agreement and waiver here, with a conspicuous opt-out, and align it with the app stores' rules. Do not enable this clause without counsel; it is jurisdiction-sensitive and unenforceable in some regions.)
(d) Time limit. To the extent permitted by law, any claim relating to the Service must be brought within one year after it arises.
15. General terms
- Entire agreement. These Terms, together with the policies they incorporate (Privacy Policy, Acceptable Use Policy, Content & IP Policy, Subscription & Billing Terms, EULA, and Disclaimer), are the entire agreement between you and Voclip about the Service and supersede prior agreements on that subject.
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions stay in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.
- No third-party beneficiaries. Except for Apple and Google as described in the EULA, these Terms create no third-party beneficiary rights.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices and electronic communications. You consent to receive communications from us electronically (in-app, by email, or by posting in the Service), and you agree that electronic communications satisfy any legal requirement that a communication be in writing. We may give notice to the email associated with your account; you may contact us at support@voclip.app.
- Export and sanctions compliance. You represent that you are not located in, and will not use the Service in, a country or by a person subject to applicable trade sanctions or export controls.
- Survival. Sections that by their nature should survive termination — including ownership and license grants for content still in distribution, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution — survive.
16. Changes to these Terms
We may update these Terms. When we publish a new version we will update the effective date and version above. If a change is material, we will ask you to re-accept the Terms before you continue using the Service. Continued use after a non-material update means you accept the updated Terms.
